The TCT Board of Directors
TCT is a Member Association that is run by a Board of Directors. Directors are elected from the Membership to serve a two-year term. The Board of Directors is the elected governing body of the Tehachapi Community Theater Association. Board of Directors Description There shall be seven (7) regular members of the Board of Directors: The President, Vice-President, Secretary, Treasurer, Member-At-Large, Executive Producer and Managing Producer. They shall be elected for a two (2) year term. No member or officer of the Board of Directors shall receive financial compensation of any kind for his/her services to TCT’s Board, except for the reimbursement of approved expenses. On all issues that come before the Board, that are put to a vote of the Board, each member must cast their vote so that there is never a situation where the vote is deadlocked. There is no hierarchy to the Board and titles merely denote areas of focus. Each member of the Board is an equal member. The President shall Preside at all General Membership and Board meetings, be responsible for preparing the agenda, and shall perform all other duties as are incidental to the office. The Vice-President shall assume the duties of the President in his absence. They may also be assigned/volunteer to take the lead on other projects as the Board deems necessary. The Vice President will be responsible for keeping the TCT Policy and Procedure Manual(s) up to date. In the event of a vacancy in the office of President, the Vice-President shall assume the Presidency for the un-expired term. The Secretary shall be responsible for the proper recording of the minutes of all meetings. The secretary shall be responsible for the appropriate retention of all TCT non-financial records and all correspondence of the TCT. The Treasurershall be responsible for the timely and accurate preparation and maintenance of all financial records. The treasurer shall supervise the preparation of all tax returns or other financial documents. The treasurer shall be responsible for all funds of TCT. The treasurer shall turn in a report of the current finances to be recorded at each monthly meeting. The Member-At-Large shall assume responsibilities as assigned by a consensus of the Board. They may also be assigned or volunteer to take the lead on other projects as the Board may deem necessary. The Managing Producer shall be responsible for the procurement of all Production Scripts from play Publishers, oversee the payments of all Royalties for season productions. They may also be assigned or volunteer to take the lead on other projects as the Board deems necessary. The Executive Producer provides oversight for all Productions and acts as a liaison and a Reference Person for all Directors of those productions. They will assist Directors with Production Budgets, assist in the negotiations for leases for all TCT facilities, and advise both the Board and Production Directors in All Areas of Production, where needed or requested. In the event of a Resignation from the Board, the Board may choose to fill the vacancy – by a Board appointment, or by a majority vote of the TCT General Membership. If the vacancy is filled by Board appointment, the members will be notified at the next membership meeting. If the vacancy is to be filled by election from the membership, the election will be announced to the membership, nominations will be taken, and voting will take place at the earliest possible time. The member elected to the open position shall take office at the next Board Meeting. They will serve only the remainder of the term that they are filling, subject to the staggering of Board of Directors positions, as described in that Policy. The Board may appoint one non-voting Youth Advocate, who shall be a student member of TCT, to represent the concerns of children and teens who are members of TCT. |
